<p>My platform is a live AI study app on web, iOS, and Android. A student drops in a PDF, YouTube lecture, article, image, or audio recording and gets spaced-repetition flashcards (SM-2), an auto-graded quiz, a summary, notes, and chat grounded in that source. Audio is transcribed with Deepgram.</p><p>I built it because students were re-reading lectures instead of reviewing. The product has been signing up users since March 2026, all from organic search, four public free tools, and word of mouth. No paid acquisition.</p><p>A buyer gets the source code, infrastructure accounts, Stripe, the App Store and Google Play listings, and optionally the Delaware C-Corp. Included are the free tools (YouTube summary, PDF summary, quiz, and flashcard generator), teacher sharing with per-student reports, and a Stripe Connect-approved creator marketplace. I will stay 60 days to hand it off or fold it into the buyer's product.</p><p><b>Key highlights:</b></p><ul>

<p><b>Team</b></p><p>Solo founder. I write the product, run the infrastructure, and handle support. No employees and no contractors with equity. A new engineer should plan 2–4 weeks to ramp on the codebase. I am included for 60 days after close.</p><p><b>Tech Stack</b></p><p>Web app, native iOS app, and native Android app, all in production with subscriptions and push. Ingestion covers PDF, DOCX, YouTube, articles, images, text, and audio. Audio is transcribed with Deepgram. Billing runs through Stripe and the app stores, de-duplicated in RevenueCat. The creator marketplace uses Stripe Connect, already approved. Flashcards use SM-2. I will name the exact frameworks, hosting, and model providers on the code tour, and they transfer with the infrastructure accounts.</p><p><b>Marketing and growth</b></p><p>No paid acquisition. Growth is organic search, four public free tools, and word of mouth. Rebuilding the web app, both store listings, subscriptions, push, transcription, classroom reports, and the free-tool funnel takes 6–12 months.</p><p>A buyer shortens that to a handover. Payback comes from distribution they already have: a study app, a course, a YouTube lecture channel, or a school tool that can send users into a product that already converts organic traffic. I stay 60 days to fold it in. If they need it to pay for itself on today's MRR, this is the wrong listing.</p><p><b>Startup assets</b></p><ul>

<p><b>Risks</b></p><p>Revenue is early: $155 MRR and 19 paying subscribers, a 0.6% conversion from signups. A buyer who needs this to pay for itself on today's revenue will not. The mitigation is to treat the price as the cost of a shipped surface, not a multiple, and to confirm the RevenueCat export before close.</p><p>"Chat with a PDF" is commoditized. Notebook-style tools can copy the chat box. The defensible pieces are the study loop (SM-2, graded quizzes, source-grounded notes), the live store listings, and the free-tool signup engine. A buyer who already has distribution can use those. A buyer who wants a moat against every AI wrapper cannot.</p><p>The codebase is solo-founder. A new engineer needs 2–4 weeks to ramp, and bus-factor is one until that happens. Mitigation is the 60-day handover, a code tour before close, and reading the repo during diligence rather than after the wire.</p><p>Organic growth can slow. September was 696 signups with no ads, but there is no paid channel to turn on, and the free tools depend on search. Check the signup source export before close. If search is most of it, budget for content upkeep.</p><p>App Store and Google Play accounts, Stripe, and model-API keys do not transfer by themselves. Mitigation is a written asset list and moving access during the 60 days, not on signing day.</p><p><b>Summary</b></p><p>Buy this if you want the workflow already in production, not the $1,860 run-rate. Web, iOS, and Android are live, with subscriptions, push, Deepgram transcription, SM-2, teacher reports, and a Stripe Connect marketplace. The asking price is $55,000 cash for the code, the store listings, Stripe, the infrastructure, and 60 days of the founder's time. The Delaware C-Corp is optional. Asking Price Reasoning
Fair against a rebuild, not against trailing revenue. TTM Stripe volume is $482, MRR is $155, and a revenue multiple would be under $2,000. The price is for the production web app, live iOS and Android listings with subscriptions and push, SM-2, quizzes.
Reason for Selling
I want a home for it this month rather than run a long sale or scale it myself. The product is live. The revenue is early. A buyer who already has distribution will get more from it than I will.
Growth Opportunity
Signups are already growing with no ads: 696 in September, 718 in the last 30 days. A buyer with a course, a YouTube lecture channel, a school, or an existing study app can send that audience into a product that already converts organic traffic at 0.6%.
